Draft · not legal advice
Practice terms
These draft terms are between the accounting practice and UBL HOLDINGS LTD, company 11940647, Henge Barn, Pury Hill Business Park, Alderton Road, Towcester, Northamptonshire, NN12 7LS, United Kingdom.
The service
QuarterClose lets a practice collect receipts on WhatsApp, with an inbound email address per client as well. It reads photos, PDFs and voice notes, asks clarifying questions, chases on the Making Tax Digital quarter calendar, and exports a CSV after a person at the practice has approved the lines. It does not submit anything to HMRC. It is not HMRC-recognised software. The practice files the quarterly update in its own software.
Your review
Extraction can be wrong. A line is not exported until someone at the practice approves it or marks it personal. The practice remains responsible for the figures it files and for having a lawful basis to send client records to us.
Clients
Clients are not parties to these terms and are not given accounts. The practice records WhatsApp opt-in before business messages are sent, tells clients they can reply STOP, and tells them, in its own engagement, that receipts sent by WhatsApp or email will be read and may be queried.
Fees
The pilot is £0 up to 25 clients. Practice is £149 a month up to 50 clients. Practice Plus is £349 a month up to 150. Fees are invoiced manually by UBL HOLDINGS LTD and paid by bank transfer. The app does not take a card payment. A Square invoice can be added later without changing the plan. An unpaid invoice can be marked overdue and the service paused.
Acceptable use
Do not upload records you have no right to hold, do not use the inbound address to send marketing, and do not attempt to read another practice’s data.
Liability
This draft caps liability for the service, other than liability that cannot legally be capped, at the fees paid in the previous 12 months. We are not liable for a return filed from an unreviewed export, or for HMRC penalties.
Law
England and Wales.
